Terms of Use

Effective April 29, 2026

These Terms govern your use of Helmrig — the iOS app, the helmrig CLI you run on your laptop, the qr.helmrig.app pairing service, and the helmrig.app website (together, "Helmrig"). By installing or using any of them, you agree to these Terms. If you don't agree, don't use Helmrig.

1. Who you're agreeing with

Helmrig is provided by Individual entrepreneur Nikita Kislitsin (Identification Number 305512825), registered in Tbilisi, Georgia (the "Provider", "we", "us"). You can reach us any time at hi@helmrig.dev.

2. Who can use Helmrig

You must be at least 16 years old, or the minimum age of digital consent in your country, whichever is higher. You must be able to enter into a binding contract under your local law. You agree to use Helmrig only for lawful purposes and in compliance with these Terms.

3. License to use the iOS app and the CLI

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to:

  • install and use the Helmrig iOS app on Apple-branded devices that you own or control, in accordance with Apple's standard end user license agreement; and
  • download, install, and run the Helmrig CLI / daemon on computers that you own or control, solely to operate Helmrig with your paired iPhone.

The CLI is distributed as a closed-source minified JavaScript bundle via the npm registry. No source code rights are granted. You receive no rights other than those expressly stated in these Terms; all other rights are reserved.

4. Things you won't do

You agree not to, and not to allow any third party to:

  • copy, modify, translate, or create derivative works of the iOS app or the CLI, except to the limited extent permitted by mandatory law that cannot be waived;
  • reverse engineer, decompile, disassemble, deobfuscate, or otherwise attempt to derive the source code of the iOS app or the CLI, except to the limited extent expressly permitted by mandatory applicable law (such as for interoperability under EU law);
  • remove, obscure, or alter any proprietary, copyright, or trademark notices;
  • sell, rent, lease, sublicense, redistribute, or commercially exploit Helmrig or any part of it;
  • use Helmrig or qr.helmrig.app to host, transmit, or facilitate malware, phishing, infringing material, or any unlawful, harmful, or fraudulent activity, or to attack any system, network, or person;
  • circumvent any security, rate-limit, or technical measure; impose unreasonable load on the pairing service; or use automated tools to probe, scan, or stress-test our infrastructure;
  • use Helmrig to build a competing remote-development service offered to third parties.

5. Your laptop, your tools, your AI

Helmrig is a transport and interface layer. The CLI runs on your laptop and acts as a thin wrapper around developer tools and AI assistants that are already installed on your machine — for example git, your shell, Claude Code, or Codex. Those tools, and the AI providers behind them, are configured and paid for by you, using your own subscriptions or API keys. Helmrig does not sell, host, or proxy access to any AI model.

Your use of any third-party tool, AI provider, or service through Helmrig is governed solely by that party's own terms and pricing. We are not responsible for the output, accuracy, security, availability, or charges of any third-party tool or AI provider. Anything those tools or AI assistants generate, change, or delete on your machine — including code, files, or commands — is your responsibility, not ours.

6. The pairing service

qr.helmrig.app is a small rendezvous service that briefly stores an encrypted blob your laptop uploads during pairing and hands it back to your phone. We cannot read the blob, and we delete it as soon as it is fetched (or shortly after). The service is offered on an "as available" basis — we may modify, suspend, or discontinue it at any time without notice. We do not guarantee uptime, latency, or that any pairing attempt will succeed.

7. Pre-release software

Helmrig is currently distributed as a pre-release preview through Apple TestFlight. It may contain bugs and may change, break, or be discontinued without notice. Do not use Helmrig with mission-critical systems and always keep independent backups of any work you do through it.

8. Updates

To keep Helmrig secure and functional, the CLI checks the npm registry for a newer version about once per hour and installs it automatically. The iOS app is updated through TestFlight or the App Store. By installing Helmrig you consent to receiving these updates.

9. Pricing and subscriptions

Helmrig is currently provided free of charge. We may introduce paid plans or subscriptions in future versions of the iOS app. Any such subscriptions will be sold through Apple In-App Purchase, billed to your Apple ID, and governed by Apple's then-current rules for auto-renewing subscriptions in addition to these Terms. You can review and cancel subscriptions in Settings → Apple ID → Subscriptions on your device. Refunds, billing disputes, and tax-related matters for App Store purchases are handled by Apple under its policies.

10. Account, content, and security

Helmrig does not require you to create an account with us. We do not store your code, files, terminal sessions, or AI conversations — that traffic flows end-to-end encrypted between your phone and your laptop and never reaches our servers (see our Privacy Policy). You are responsible for protecting the devices on which Helmrig runs, the networks they connect to, and any credentials, tokens, or keys stored on those devices.

11. Intellectual property

Helmrig, including the iOS app, the CLI, the qr.helmrig.app service, the helmrig.app website, the Helmrig name and logo, and all related materials, is owned by the Provider and protected by intellectual-property laws. Except for the limited license in Section 3, these Terms do not grant you any rights — by implication, estoppel, or otherwise — in our intellectual property. Any feedback or suggestions you send us may be used by us without obligation or compensation to you.

12. Termination

You can stop using Helmrig at any time by uninstalling the iOS app and the CLI. We may suspend or terminate your access to any part of Helmrig if you breach these Terms, if your use creates legal, security, or operational risk, or if we discontinue the service. Sections that by their nature should survive termination — license restrictions, intellectual property, disclaimers, liability, indemnification, governing law, and these miscellaneous provisions — will survive.

13. Disclaimer

To the maximum extent permitted by applicable law, Helmrig and qr.helmrig.app are provided "AS IS" and "AS AVAILABLE", with all faults and without warranties of any kind, whether express, implied, statutory, or otherwise. We specifically disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, quiet enjoyment, and uninterrupted operation. We do not warrant that Helmrig will meet your requirements, that any defects will be corrected, or that the service will be free of harmful components.

14. Limitation of liability

To the maximum extent permitted by applicable law, our aggregate liability arising out of or relating to these Terms or your use of Helmrig will not exceed the greater of (a) the total amount you have paid us for Helmrig in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) USD 100. We will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, even if advised of the possibility of such damages. Some jurisdictions do not allow some of these limitations; in those jurisdictions, our liability is limited to the smallest extent permitted by law.

15. Indemnification

You agree to defend, indemnify, and hold harmless the Provider from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of (a) your breach of these Terms, (b) your use of Helmrig in violation of applicable law or any third-party right, or (c) actions you direct Helmrig to perform on your laptop or any other system or service you connect, including damage to that system or its data.

16. Changes to these Terms

We may update these Terms from time to time. The current version is always at helmrig.app/terms.html with an effective date. For material changes, we will provide reasonable notice in the app, on the website, or by email if we have one for you. Your continued use of Helmrig after the effective date of an update constitutes acceptance of the updated Terms.

17. Governing law and disputes

These Terms are governed by the laws of Georgia, without regard to its conflict-of-laws rules. The exclusive jurisdiction for any dispute arising out of or relating to these Terms is the competent courts of Tbilisi, Georgia — except that, if you are a consumer, you retain the protection of the mandatory rules of the country in which you reside.

18. Apple-specific terms (iOS app)

For users of the Helmrig iOS app:

  • These Terms are between you and the Provider only, not Apple Inc. Apple is not responsible for the iOS app or for addressing any claims relating to it.
  • The license to the iOS app is governed by Apple's Standard End User License Agreement, together with these Terms.
  • The Provider, not Apple, is solely responsible for any maintenance and support for the iOS app, and for any product warranties, to the extent any such obligation exists.
  • The Provider, not Apple, is responsible for handling any claims by you or any third party relating to the iOS app, including product-liability, regulatory, or intellectual-property claims.
  • You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.
  • Apple and Apple's subsidiaries are third-party beneficiaries of these Terms with respect to the iOS app and may enforce them against you.

19. Miscellaneous

These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding Helmrig and supersede any prior agreement on the same subject. If any provision is held unenforceable, the remaining provisions stay in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a corporate transaction or successor. Section headings are for convenience only and have no substantive effect.
